These terms govern your use of Bakti AI's services. Please read them carefully before engaging with us.

Definitions
Throughout these Terms and Conditions, the following terms carry the meanings described below:
- "Agreement" — These Terms and Conditions, along with any service proposals, engagement letters, or addenda agreed to in writing.
- "We / Us / Our / Bakti AI" — Bakti AI, a consulting practice registered and operating from 78 Jalan Sultan Azlan Shah, 31400 Ipoh, Perak, Malaysia.
- "User / You / Client" — Any individual, team, or organisation that engages Bakti AI for consulting, workshops, or benchmarking services, or that accesses our website.
- "Service" — Any consulting engagement, workshop, or benchmarking activity delivered by Bakti AI as described in an accepted proposal or service agreement.
- "Content" — All materials, reports, frameworks, templates, and documentation produced or supplied in connection with the Service.
- "Website" — The Bakti AI website accessible at https://bakti.world.

Acceptance of Terms
By submitting an enquiry form, signing a service proposal, or otherwise engaging with Bakti AI, you confirm that you have read, understood, and agree to be bound by these terms.
- You must be at least 18 years of age and have the legal capacity to enter a binding agreement.
- If you engage on behalf of an organisation, you represent that you have authority to bind that organisation.
- Use of our website alone does not create a service agreement; a formal engagement begins upon receipt of a signed proposal or purchase confirmation.

Service Description
Bakti AI provides AI integration consulting, conversational AI design workshops, and AI performance benchmarking to businesses and organisations operating in Malaysia and the wider Southeast Asian region.
Services are delivered remotely or on-site at the client's premises, as agreed in the engagement scope. Availability depends on our current capacity and engagement calendar.
Specific service scope, deliverables, and timelines are defined in individual project proposals. In the event of any conflict between these Terms and a signed proposal, the proposal shall take precedence for that specific engagement.

User Responsibilities
To allow us to deliver a meaningful service, you agree to:
- Provide accurate, complete, and timely information relevant to the engagement.
- Make appropriate personnel available for consultations, workshops, and feedback sessions.
- Review and respond to draft deliverables within agreed timeframes.
- Use any AI-related insights or recommendations responsibly and in accordance with applicable Malaysian law.
- Not engage in any conduct that is unlawful, discriminatory, or harmful to third parties through the use of our deliverables.
Delayed input from your side may affect delivery timelines. We will communicate any impact proactively and agree on a revised schedule where needed.

Intellectual Property
All frameworks, methodologies, templates, and training materials developed by Bakti AI prior to or independently of your engagement remain the intellectual property of Bakti AI.
Deliverables produced specifically for your engagement — such as risk dashboards, conversation design documents, and benchmarking reports — are licensed to you for internal business use upon full payment of fees.
This licence is non-exclusive, non-transferable, and does not permit resale, sublicensing, or public distribution of deliverables without our prior written consent.
You retain full ownership of any data, systems, or proprietary information you share with us. We do not claim any rights over your pre-existing intellectual property.

Payment Terms
All fees are quoted and invoiced in Malaysian Ringgit (RM) unless otherwise stated. Applicable taxes (SST) will be added where required by law.
- AI for Operational Risk Assessment: RM 900 per engagement.
- Conversational AI Design Workshop: RM 2,300 per workshop session.
- AI Performance Benchmarking Service: RM 3,790 per benchmarking cycle.
Payment is due within 14 days of invoice date. For engagements exceeding RM 2,000, a 50% deposit is required prior to commencement.
Accepted payment methods include bank transfer to our nominated Malaysian business account and other methods agreed upon in writing.
Refund Policy: Cancellations made more than 5 business days before a scheduled workshop or engagement start date will receive a full refund of any deposit paid. Cancellations within 5 business days will forfeit the deposit. If Bakti AI cancels an engagement, a full refund will be issued.

Service-Specific Terms
AI for Operational Risk Assessment
This service produces a structured risk assessment and dashboard design based on the data and context you provide. The assessment reflects the information available at the time of the engagement and should be reviewed periodically by your team as business conditions evolve.
Conversational AI Design Workshop
Workshop outcomes depend on the active participation of your team. Documented conversation designs produced during the workshop are intended as starting points for your development team and will require further testing and iteration. Workshop slots are confirmed upon receipt of deposit.
AI Performance Benchmarking Service
Benchmarking is conducted based on access provided to your AI systems and relevant internal data. Conclusions are drawn from measurements taken during the engagement period. You are responsible for ensuring we have appropriate access and that sharing such access does not violate any third-party agreements you hold.

Disclaimers
Our services are provided on an "as-is" basis, reflecting current knowledge and best practices in the AI consulting field. While we bring care and professional judgment to every engagement, we cannot warrant specific business outcomes from implementing our recommendations.
Bakti AI is an AI consulting and training practice and does not provide legal, financial, medical, or regulatory compliance advice. Any regulatory considerations raised during an engagement are observational and should be verified with qualified professionals in those fields.
The AI field evolves rapidly. Recommendations made today may require revisiting as technology, standards, or your organisation's circumstances change.

Limitation of Liability
To the fullest extent permitted by Malaysian law, Bakti AI's total liability to you for any claim arising from or related to a service engagement shall not exceed the total fees paid by you for that specific engagement.
We shall not be liable for indirect, consequential, special, or incidental losses, including but not limited to lost profits, loss of data, or business interruption, even if we have been advised of the possibility of such losses.
Nothing in these terms limits liability for fraud, gross negligence, or personal injury caused by our negligence, as these cannot be excluded under Malaysian law.

Indemnification
You agree to indemnify and hold harmless Bakti AI, its staff, and associates from any claims, losses, or damages arising from: (a) your use of deliverables in a manner not contemplated by this Agreement; (b) your breach of these Terms; or (c) any third-party claim arising from data or content you provided to us during the engagement.

Termination
Either party may terminate an engagement by providing written notice. In such cases:
- You will be invoiced for work completed up to the date of termination.
- Any deliverables completed at the time of termination will be transferred to you upon receipt of payment for work done.
- Deposits are non-refundable if termination is initiated by you within 5 business days of engagement commencement.
Clauses relating to intellectual property, confidentiality, limitation of liability, and dispute resolution shall survive termination.

Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Malaysia. Both parties agree to first attempt to resolve any dispute informally through direct discussion within 30 days of a written notice of dispute.
If informal resolution is not reached, disputes shall be referred to mediation or arbitration under the rules of the Asian International Arbitration Centre (AIAC) in Kuala Lumpur, prior to any court proceedings.
For matters not resolved through the above, you consent to the exclusive jurisdiction of the courts of Perak, Malaysia.

General Provisions
- Entire Agreement: These Terms, together with any signed proposal, constitute the full agreement between you and Bakti AI.
- Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce any provision on one occasion does not waive our right to enforce it in future.
- Assignment: You may not assign your rights or obligations under this Agreement without our prior written consent.
- Confidentiality: Both parties agree to treat as confidential any non-public information shared during the engagement and not to disclose it to third parties without prior written consent, for a period of 3 years post-engagement.

Changes to Terms
We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. Updated terms will be published on this page with a revised date.
For active engagements, material changes will be communicated to you directly. Your continued use of our services after any update constitutes acceptance of the revised terms.
